SenderCircle Publisher Terms of Use & User Agreement

1. Introduction & Acceptance of Terms
By registering for a publisher account on the SenderCircle platform ("SenderCircle," "we," "our," or "us"), you ("you," "your," or "Publisher") agree to be bound by these Terms of Use & User Agreement ("Agreement"). If you do not agree with any part of this Agreement, you may not use or access the platform.
2. Eligibility & Publisher Representations
You represent and warrant that you are authorized to act on behalf of the newsletter(s) you register, all information you submit is truthful and accurate, you own or have rights to the subscriber list(s) associated with your newsletter, your participation does not and will not violate any applicable laws or third-party rights. You acknowledge that SenderCircle is not responsible for any false, misleading, or inaccurate information you provide.
3. Services Provided by SenderCircle
SenderCircle facilitates sponsorship opportunities between newsletter publishers and advertisers, provides access to advertising offers, and may offer performance analytics. We do not guarantee campaign performance, revenue, or access to specific sponsors.
4. Data Access, Storage & Use
By registering, you grant SenderCircle permission to access, collect, store, and analyze your newsletter data, including but not limited to subscriber email addresses, open rates, click rates, and IP addresses, campaign performance metrics, additional data points acquired through third-party enrichment tools. This data will be used for internal analytics, network performance evaluation, sponsor reporting, and matching advertisers with appropriate newsletters. SenderCircle will not sell personal subscriber data or disclose it in personally identifiable form to sponsors. We reserve the right to use anonymized or aggregated data for commercial purposes.
5. Ad Placement & Campaign Participation
All campaigns are fully opt-in. You are not required to run any advertisement unless you choose to participate. However, by opting in to a campaign, you agree to run the approved creative as provided by the sponsor, not alter or modify the creative in any way without the sponsor's prior written approval, accurately represent campaign performance if manual tracking is required.
6. Payment Terms & Commission
Unless otherwise stated, SenderCircle will issue payments to publishers on or around the 15th of each month for revenue earned during the previous calendar month. This provides a verification period for revenue review and processing. SenderCircle retains a standard 30% commission on all gross sponsor payments. From time to time, at our sole discretion, we may choose to apply a reduced commission without notice. We also reserve the right to modify our commission structure or payment terms with reasonable notice.
7. Confidentiality & Non-Circumvention
You agree not to disclose or share sponsor information, rates, or campaign details outside of SenderCircle. You further agree not to circumvent SenderCircle by working directly with any sponsor introduced to you via the platform, unless expressly permitted in writing by SenderCircle. If you breach this obligation, you agree to pay SenderCircle its standard commission on any resulting sponsorship revenue, plus a penalty fee of $1,000, or a greater amount deemed reasonable by SenderCircle, to cover damages, lost opportunities, and enforcement costs.
8. Intellectual Property
You retain all rights to your newsletter content. SenderCircle retains all rights to its platform, technology, branding, and any related materials. Campaign content provided by sponsors remains their intellectual property.
9. Disclaimers & Limitation of Liability
SenderCircle provides the platform "as is" and disclaims all warranties. We are not responsible for platform downtime or technical issues, sponsor nonpayment or misrepresentation, publisher misrepresentation or content issues, campaign results, advertiser claims, or lost revenue To the fullest extent permitted by law, our liability is limited to the amounts paid to you by SenderCircle in the 30 days preceding any claim.
10. Termination & Account Suspension
SenderCircle may suspend or terminate your access to the platform at any time, with or without notice, for any reason or no reason. You may terminate your account at any time.
11. Amendments to the Agreement
We may update this Agreement at any time. We will provide reasonable notice of material changes. Continued use of the platform after such changes constitutes your acceptance of the revised terms.
12. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed under the laws of the State of New York. Any disputes will be resolved in the state or federal courts located in New York, NY.
13. Miscellaneous Provisions
This Agreement constitutes the entire understanding between you and SenderCircle. If any part is deemed unenforceable, the remaining parts remain in full effect. Our failure to enforce any right or provision does not waive future enforcement.
